Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of The Buy Signal, a buyer-side deal-analysis service operated by The Buy Signal LLC ("The Buy Signal," "we," "us," or "our"). By creating an account, accepting these Terms, uploading documents, or otherwise using the service, you agree to these Terms. If you do not agree, do not use the service.

1. Acceptance of these Terms

By accessing or using The Buy Signal you confirm that you are at least 18 years old, that you can form a binding contract, and that you accept these Terms on your own behalf or on behalf of the organization you represent.

You must accept these Terms before you can use the platform. We record your acceptance as an immutable record, together with the version you accepted, the time, your IP address, and your browser user agent. Your acceptance is binding and remains in effect for all of your activity on the platform, including every document you upload, until these Terms are updated or until two years have passed, at which point we will ask you to accept again (see Section 14).

2. What the service is, and what it is not

The Buy Signal is buyer-side analytical software. You use it to evaluate potential business acquisitions: you provide deal documents and financial inputs, and the service produces a Signal Report, sensitivity analysis, diligence flags, and related outputs.

The Buy Signal is not a broker, marketplace, lender, seller, or counterparty to any transaction. We do not represent sellers, we do not list businesses for sale, and we do not introduce buyers to sellers.

The service does not provide legal, financial, accounting, tax, or investment advice. The Buy Signal is an analytical tool and advisor only. It does not make decisions for you, and it is not responsible for the decisions you make or for the outcome of any acquisition. A favorable Signal Report, score, or analysis is not a recommendation to buy and is not a promise that a purchase will succeed or be profitable. You alone decide whether to pursue, value, or complete any transaction, and you alone bear the results of that decision. You are responsible for your own due diligence and for engaging your own qualified advisors before acting on any deal.

3. Accounts and eligibility

You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

4. Your uploads and your authority to disclose

You may upload deal documents (for example financial statements, tax returns, balance sheets, equipment or vehicle lists, and confidential information memoranda). You retain ownership of the documents you upload.

By uploading any document, you represent and warrant, each time you upload, that you have the right and authority to disclose it to The Buy Signal. That means at least one of the following is true:

  • Your non-disclosure agreement (NDA) permits disclosure to your service providers and representatives (the standard carve-out for counsel, accountants, financial advisors, and other representatives), and you are engaging The Buy Signal as such a representative; or
  • You have the seller's or broker's consent to share the material; or
  • No NDA or confidentiality restriction applies, or you otherwise accept full responsibility for the disclosure.

The Buy Signal acts solely on your behalf and solely for your evaluation of the transaction. We are not a party to any agreement between you, a seller, or a broker, and we do not verify your authority to upload. You are solely responsible for ensuring you have the right to upload each document. If you do not have that right, you assume full responsibility for any consequences, including legal, contractual, or reputational consequences, that may arise from the upload. We offer an optional NDA addendum on our Trust and Compliance page for buyers whose NDAs require representatives to be named.

A note on NDAs that include AI-specific restrictions. Some broker NDAs include language that limits or prohibits the use of artificial intelligence tools. These clauses typically target consumer-facing AI interfaces where uploaded content may be retained or used for model training. The Buy Signal does not operate as a consumer AI interface: all AI processing runs under per-request Zero Data Retention (ZDR) terms, which means the AI provider does not retain your content, does not use it for training, and has no record of it after the response is returned. If your NDA includes AI-specific language, you should read it carefully and, if uncertain, use our NDA addendum or obtain written broker consent before uploading. The addendum documents our ZDR posture and names The Buy Signal as a permitted representative, which is designed to satisfy standard enterprise AI carve-outs.

5. How we handle your data

We process your documents only to provide the service to you. Our current data-handling commitments are described in detail on our Trust and Compliance page, and include the following:

  • No model training. All AI requests run under per-request Zero Data Retention (ZDR) terms through our AI gateway to upstream foundation-model endpoints. The applicable provider API terms prohibit using your content to train generative models. Your documents do not become part of any model's knowledge.
  • Identifier stripping. Identifying values (such as business names, owner names, addresses, contact information, and taxpayer identifiers) are stripped from the structured analysis we store. Original values are kept in an encrypted form that is not readable at the database layer without application-level decryption.
  • Encryption. Data is encrypted in transit and at rest using industry-standard methods.
  • Retention and deletion. Original uploaded files are retained so your analysis can be refined and you can re-review the source. They are protected by access controls scoped to your account and are reachable only through short-lived authenticated links. You may delete any file at any time. When you close your account, your data is deleted within 30 days, unless you ask us in writing to preserve it for tax or audit reasons.
  • Access controls. Any access to decrypted identifiers by our personnel for support or compliance purposes occurs only through a deliberate, logged process that records the actor, the time, and the reason.
  • Sub-processors. We maintain a current list of our sub-processors on the Trust and Compliance page and disclose material changes.

6. Data license and aggregated insights

You keep ownership of the documents and inputs you provide. You grant us a worldwide, royalty-free license to host, process, and use that content to provide and improve the service to you.

In addition, you grant us a license to create and use de-identified, aggregated information derived from deal data to produce market statistics, benchmarks, and insights. We may make these aggregated insights available to others, including through a future data product.

We do not sell or share your individual deal data. Aggregated outputs are designed so that no individual deal, business, or person is identifiable, and we do not include directly identifying information in them. Before we use de-identified, aggregated data derived from your deals for any product made available to others, we will provide a way for you to opt out of that contribution. Opting out does not affect your use of the analysis features. Any attempt to re-identify de-identified data is prohibited (see Section 8).

7. Intellectual property

The service, including its software, models, scoring methodology, Signal Report format, and all related materials, is owned by us and protected by intellectual-property laws. These Terms do not grant you any right to our software or methodology except the right to use the service as permitted here. "The Buy Signal" and related marks are our property.

8. Acceptable use

You agree not to: upload content you have no right to upload; reverse engineer, scrape, or copy the service or its outputs except for your own internal evaluation use; resell or redistribute the service or its outputs; attempt to re-identify any de-identified data; interfere with the service's operation or security; or use the service to violate any law or third-party right.

9. Fees and billing

Paid plans and one-time purchases are billed through our payment processor. Current pricing is shown on our site at the time of purchase. Subscriptions renew automatically until canceled, and you can manage or cancel your plan from your account settings. Except where required by law, payments are non-refundable. We may change pricing prospectively with notice.

10. Disclaimers

The service is provided "as is" and "as available." Signal Reports, scores, projections, sensitivity analyses, and diligence flags are estimates generated from the inputs and documents you provide. They are not guarantees of any outcome and are not a substitute for professional due diligence or advice. Nothing in any output is a recommendation to enter into, value, or complete a transaction. We do not warrant that outputs are accurate, complete, or fit for a particular purpose. To the maximum extent permitted by law, we disclaim all warranties, express or implied.

11. Limitation of liability

To the maximum extent permitted by law, The Buy Signal and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost data, or business interruption, arising out of or related to your use of the service. Without limiting the foregoing, we are not liable for any business, financial, or investment loss arising from a decision you make in connection with a transaction, including any decision to acquire, not acquire, value, finance, or manage a business, whether or not a Signal Report or other output informed that decision. Our total liability for any claim relating to the service will not exceed the greater of the amount you paid us in the 12 months before the claim or 100 US dollars.

12. Indemnification

You agree to indemnify, defend, and hold harmless The Buy Signal LLC and its members, officers, and personnel from and against any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) brought by you or by any third party, arising from or related to:

  • documents or content you upload, including any claim by a seller, business owner, broker, or other person that your upload or disclosure of their information was unauthorized, breached an agreement, or caused them harm;
  • your use of the service;
  • your breach of these Terms or of your representations regarding your authority to upload under Section 4; or
  • your violation of any law or any third-party right.

This obligation survives the termination of your account.

13. Termination

You may stop using the service and close your account at any time. We may suspend or terminate your access if you breach these Terms or to protect the service or other users. On account closure, your data is handled as described in Section 5.

14. Changes to these Terms and re-acceptance

We may update these Terms from time to time. When changes are material, we will update the effective date and ask you to accept the updated Terms before you continue using the platform.

In addition, even if these Terms have not changed, we will ask you to re-accept them at least once every two years, so that your agreement to the current Terms stays current. If you do not accept when asked, you will not be able to continue using the platform. Your continued use after accepting an update means you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You and The Buy Signal LLC submit to the exclusive jurisdiction of the state and federal courts located in [PLACEHOLDER: county], Texas for any dispute that is not subject to arbitration, where applicable.
